General points

The following General Terms of Sales are valid for each selling point of the firm Jaydisc S.A.R.L – known as Jaydisc. These General Terms of Sales are considered as accepted once we receive the payment of the goods. We only take into account orders which validated our General Terms of Sales. All the orders which don’t follow our General Terms of Sales will not be accepted. If we would have to change or update one of the following clauses, the rest of the agreement and the other clauses will still be valid.

Minimum order value

The minimum order value is of 20 Euros tax free ( that is to say 23.00 Euros all taxes included).

Price

Our price offer is free and without engagement. Our prices include the VAT effective in Luxembourg (that is to say 15%). To this we have to add the difference between the VAT of our client and the Luxembourg VAT ( so 4% for Austria, 4.6% for France, 4% for Italy, 7% for Finland, 3% for the Netherlands, 5% for Belgium, 1% for Spain). If a problem of delivery would happen or if there would be a mistake in our offer, we would inform our client in the best timing. We keep the right to modify any product at any time without informing our client. In case of any change made, we would respect the main characteristics of the initial product. We keep the right to make any correction in case of calculation or printing mistakes. Any change regarding our product offer and the confirmation of your order has to be approved in writing.

Conditions of delivery

The details regarding delivery time or regarding the manufacturing characteristics of the products will be considered as definitive once you receive a written confirmation of your order. The delivery time we announce will be checked and respected whenever possible. We consider that the delivery time is respected once the client is informed of the availability of his order and this for the end of the confirmed date maximum. We keep the right to deliver in several times when necessary. We won’t accept any responsibility for any longer delivery time due to the following reasons: official measures, Force Majeur, strikes, exceptional closings, driving or employees problems, lack of raw material or any other problem of delivery. If the problem would last long, we keep the right to limit or cancel the deliveries as well as to cancel the entire or part of the contract, without the client can ask for later delivery or for damages. In case of minimum delivery or partly cancellation, we will keep the client informed. In the case of the client only would have received a part of his order and in the case of he can’t make full use of the products, the client has the right to cancel his order. In the case we would need longer time for delivery, the client has the right to send us a letter by registered post in the next 3 weeks; once this delay is over, the contract will be cancelled. If we would cause a delay in delivering by carelessness or intentionally, the client can ask for damages, once the 3 weeks are over.

Delivery in foreign countries

We will chose the carrier for any order coming from foreign countries, for in case of you would miss indicating yours. The transport costs will be indicated on your bill and paid by ourselves directly to the carrier. The delivery times is depending on local and timing conditions, we can’t guarantee these delays. The products will be delivered to the address indicated by the client or to any other address where the client can have his order. The signature of the client will be the proof of the order delivery.

All the declared prices take into account the 15% Luxembourg VAT. The level of VAT really invoiced depends on different matters such as the departure place of the goods and the place where the goods have to be sent. For the products offered by Jaydisc – Disque 24 and for the deliveries made in the European Union, we will always take into account the VAT rate effective in each country. We act in each country as we would be part of it and we pay the VAT independently in each country. A duty tax delivery in these countries is not possible even if you have a European Union VAT number, due to the too high level of investment.

Commercial agreements:

The commercial agreements will be concluded once the payment of the client is received. Our Headquarters are based in Weiswanpach / Luxembourg and are used as our delivery place. Before the payment of the commercial agreement, the Jaydisc offer and the order from the client are still opened and both parts can cancel the order without any reasons.

Delivery time

We need 24 hours to prepare and give the orders to the carrier. It can happen that some products are out of stock or not delivered on time by our suppliers. Following the situation, it can sometimes happen that we have to deliverer in several part. If you need one product urgently, thanks to indicate this on your order, we will manage this as a priority. In case of a product is not available for an undefined period, we will inform automatically the client. You will probably have to re-order the product later. Fixed delivery times are only definitive once we send you a written confirmation.

Complaints, delivery mistake, non available product (we need the help of the client)

Thanks to check your order once you received it. It has to be complete and conform to your order. In case of missing or defective products, you have 30 days following the delivery to complain of. Other complaints can be made in the limit of the product warranty for defective products. The client has to inform us directly about any defect by written letter and this in one week maximum after he saw the defect. In case of return, the return cost and insurance will be paid by the client. The returns will be reimburse at the price of the day. We will deduct the reimbursement from your next order or we will reimburse by bank transfer. We don’t exchange the goods. We don’t reimburse the transport costs of the return. In case of we have to re-deliver the client, the re-delivery costs will be charged to the client.

Advertising via Internet

By typing his e-mail address in our database, the client accepts that we use his address for sending him our Newsletter. Jaydisc S.A.R.L sends regularly to their clients promotional offers as well as information regarding new products, except when the client doesn’t accept to receive this kind of mails. The client can at any time cancel the subscription to the Newsletter by clicking on the link available in the Newsletter.

Specific national taxes / fees

We inform our client that our prices don’t take into account any national taxes which are countries specific such as special fees, royalties, custom taxes,… The payment conditions of these taxes, even the most expensive are different from one country to another. In most of the European union countries, the implementation of the taxes is done independently from one country to another. In the case we should pay such taxes, we would declare the client as the only importer of the goods.

Responsibilities, deliveries and liquidation risks

The responsibility of the legal representatives, of the employees and members of the firm of the seller against the client is excluded except in case of deliberate omission. From the moment, Jaydisc hands over the goods to the forwarder, the risk regarding carrying out the delivery is on the customers' side.

Applicable law

The law applicable to these General Terms of Sales as well as to the commercial relation between the seller and the buyer is the law of Luxembourg only. Any other law, even the international laws can’t be implemented.

Headquarters

The headquarters of our company are based in Weiswanpach in Luxembourg for all matters which concern sales and deliveries. Any contesting regarding the implementation or the interpretation of our terms of sales and deliveries are of exclusive competence of the commercial court where the headquarters of the seller are.

Terms of revision

Jaydisc may revise these General Terms of Sales by updating these agreements. You agree that in case of any clause or any part of these clauses are found to be unenforceable, the remainder of these agreements shall remain in full force and effect. By choosing our firm, you agree to be bound by any revisions we may do and therefore accept to read regularly these General Terms of Sales to know to which agreements you are bound.
